The Toffees failed with an original £10 bid, but after selling John Stones to Manchester City for £47.5m, an improved offer of £12m was accepted by Swansea City – reports Sky Sports.
The Welsh international, 31, is expected to complete a medical on Tuesday afternoon before signing a two-year deal.
That will leave the Swans with just three centre backs, while Kyle Bartley is at Leeds United on a season-long loan.
Williams’ exit ends an 8-year spell at the Liberty Stadium, enjoying 300 games since his £300,000 move from Stockport County in 2008. He played a huge role in our route to the Premier League as well as helping us stay there for 6 consecutive seasons.
The news comes as a huge blow, the club will have to find a new captain for the 2016/17 season, and will lose an highly influential figure in the dressing room.
Reports say that the Swans will look to bring in a replacement, while they also look set to sign Atletico Madrid striker Borja Baston for a record £15m fee on Wednesday.
Ashley Williams is the second key first team player to leave in as many days, after West Ham completed a £20.5m move for Andre Ayew on Monday.
